Terms of Service

By accessing or using QuarryFi (“the Service”), operated by SmashedStudios LLC (“we,” “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

QuarryFi is a software-as-a-service platform that tracks development activity, classifies it against IRS Section 41 criteria, and generates supporting documentation for R&D tax credit claims. The Service includes web dashboards, API endpoints, and editor plugins.

QuarryFi is not a tax advisor, CPA firm, or registered tax preparer. The Service provides documentation preparation tools only. All output — including credit estimates, Form 6765 data, classification results, and technical narratives — is for informational purposes. You are solely responsible for the accuracy of your tax filings. Consult a qualified CPA or tax attorney before claiming any R&D tax credit based on QuarryFi output.

QuarryFi’s AI classification is a best-effort analysis. We make no representation or warranty that any activity classified as “qualifying” will be accepted by the IRS. Credit eligibility depends on facts and circumstances that QuarryFi cannot fully evaluate, including your business structure, industry, and specific activities.

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and API keys. Plugin API keys may submit heartbeat metadata and read seat-scoped tracking status for the assigned team member. You must notify us immediately of any unauthorized access. We reserve the right to suspend accounts that violate these terms.

You retain ownership of all data you provide to QuarryFi. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service. We do not sell your data or use it for purposes unrelated to the Service. See our Privacy Policy for details.

You may not: (a) use the Service to file fraudulent tax claims; (b) reverse-engineer, decompile, or disassemble any part of the Service; (c) use the Service in violation of any applicable law; (d) share API keys with unauthorized parties; (e) attempt to circumvent rate limits or security measures.

Free accounts may use the Service within the limits shown in the product. Founder and Growth plans are self-serve annual subscriptions billed via Stripe. Scale plans are sales-assisted and may include custom commercial terms. You may cancel at any time; paid access continues through the end of the annual billing period. Refunds are not provided for partial billing periods unless required by law. QuarryFi does not charge success fees based on tax credit amounts.

Free accounts have a visible monthly AI classification limit. Paid plans include unlimited AI classifications for normal use, subject to backend fair-use, abuse-prevention, scope, concurrency, and batch-size controls. We may pause or review unusual automated usage, broken loops, or attempts to classify data outside your authorized company, tracked repositories, or linked projects.

To the maximum extent permitted by law, QuarryFi and SmashedStudios LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost tax credits, or penalties arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless SmashedStudios LLC from any claims, damages, or expenses arising from: (a) your use of the Service; (b) your tax filings based on Service output; (c) your violation of these terms; (d) any third-party claim related to your data.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI classifications will be accurate. The IRS four-part test analysis is automated and should be reviewed by a qualified professional.

We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
